Terms of Service

The agreement between you and Wholzo for use of the platform, inventory and fulfillment services.

1. Eligibility and accounts

You must be at least 18 years old and located in the United States to create an account. You are responsible for the accuracy of your account information and for all activity that occurs under your credentials.

Accounts are for business resale use. You may not share, sell or transfer account access, and you may not create accounts to circumvent suspensions, pricing tiers or purchase limits.

2. Inventory and pricing

Product availability, pricing and specifications may change at any time without notice. Displayed inventory counts reflect our system of record at the time of viewing and are reserved only when an order is successfully placed.

We may cancel or refund an order if a pricing error, inventory discrepancy, supplier failure or suspected fraudulent activity is identified.

3. Estimates are not guarantees

Estimated resale ranges, profit, margin, ROI, demand ratings and sell-through indicators are informational estimates based on historical market data. They are not offers, appraisals, financial advice or guarantees of income. You are solely responsible for your pricing, listings and business decisions.

4. Acceptable use

You agree not to misrepresent products, infringe intellectual property, resell in violation of any marketplace's rules, scrape the platform, interfere with its operation, or use the service for any unlawful purpose.

We may suspend or terminate accounts that violate these terms, abuse fulfillment services, or create risk for our suppliers or other members.

5. Payments

All prices are in U.S. dollars. You authorize us to charge your payment method for orders, shipping, fulfillment fees and recurring membership fees until cancelled. Applicable sales tax is added where required; valid resale certificates may be submitted for exemption review.

6. Limitation of liability

To the maximum extent permitted by law, Wholzo is not liable for lost profits, lost sales, marketplace account actions, or indirect, incidental or consequential damages. Our total aggregate liability for any claim is limited to the amounts you paid to us in the three months preceding the claim.

7. Changes and governing law

We may update these terms; continued use after an update constitutes acceptance. These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
